Governance cases: read the controls, not the villain

The collapse you can read from outside
- Carillion entered compulsory liquidation on 15 January 2018 with about 43,000 jobs worldwide and a pension deficit reported around 990m.
- Governance failures are legible in public: dates, numbers, and the controls that were missing.
Read it as controls, not villains
- Optimistic contract estimates, reversed years later: control 1 - the audit committee challenges revenue estimates on the largest contracts, every year.
- Dividends paid while liquidity deteriorated (the 2016 final 6.5p): control 2 - distributions covered by cash, not earnings.
Which control bites here?
Route each early-warning sign to the control that answers it.
Jobs worldwide at the January 2018 liquidation, in thousands (approximate)?
About 43,000 - roughly 20,000 of them in the UK.
The reported pension deficit, in millions (approximate)?
Around 990m at the 2017 accounts.
The 2016 final dividend of 6.5p was the failure of which control?
It was paid into deteriorating liquidity - earnings cover is not cash cover.
Match each failure to its control.
Every failure has a control that would have caught it.
The third control, and the NAO record
- Warnings normalized: control 3 - re-baseline at the first warning, not the third. The 2017 write-offs came to 845m - public record, audited by the NAO.
- Corporate governance 公司治理 is the system by which companies are directed and controlled: board challenge, the audit relationship, risk appetite said aloud as a number.
Nimbus: 3 months of payroll behind a dividend at 8,000 a month. The cover needed, in pounds?
3 x 8,000 = 24,000 in bank after the dividend.
The 2017 contract write-offs totalled:
الصعوبة 1/5 · 100 عملة + مكافأة صغيرة عند الإنجاز الأول اليوم
Public record: about 845m of charges in 2017, reversing years of estimates.
The mini-Carillion checklist
- Three lines into Nimbus's governance calendar: dividends only from cash cover (3 months of payroll behind the payment - 24,000 at 8,000 monthly);
- the first missed forecast triggers a written re-baseline; every related-party deal goes to the minutes with the interest declared.
A 60,000-pound bakery is too small for the Carillion lesson.
The failure path scales down; the three controls scale with it.
Comply-or-explain works only when the explaining is honest.
The UK Code is not a form - a dishonest explanation is worse than a departure.
Three governance slips
- Studying the villain instead of the control. Fraudsters are rare; missing controls are common.
- Comply-or-explain without honest explanation. That is comply-and-lie.
- Concluding governance is for giants. The failure path scales down; so does the cure.
Recap
- Carillion: optimistic revenue, earnings-covered dividends, normalised warnings - 990m pension hole, 43,000 jobs, 15 January 2018.
- The controls: challenge estimates, cover dividends in cash, re-baseline at the first warning.
- Write the three lines; they scale down to a bakery.
